The Austrian Company Register (Firmenbuch)
what it holds, how to search it, how to read an extract

The Firmenbuch is the Austrian company register: a public register of the facts that company law requires to be entered, kept by the Firmenbuch courts in one database. It has two parts, the Hauptbuch (the entries) and the Urkundensammlung (the documents behind them). For most entities, entry is constitutive: the company exists from it.

What is the Firmenbuch, and is it the same as the Austrian company register?
"Austrian company register", "Austrian commercial register" and "Austrian corporate registry" are three English names for one thing: the Firmenbuch. Its statutory purpose is the recording and disclosure of facts that must be entered under the Commercial Code or another statute (FBG § 1 Abs. 2). The Hauptbuch holds the entries; the Urkundensammlung holds the documents behind them, each filed only once (FBG § 12). It absorbed the former Genossenschaftsregister too.
That is why a counterparty asks for an extract. A fact that should be registered and is not cannot be held against a third party unless he knew it; once entered, he must accept it, except for acts within 15 days where he proves he neither knew nor had to know (UGB § 15).
It is not the German Handelsregister. To set a company up rather than look one up, start with company registration in austria.
Who keeps the register, and which court keeps yours?
The court of your seat keeps it.
The Landesgericht in whose district the registered seat lies keeps the Firmenbuch. That court, not a central agency, decides on your entry.
Vienna and Graz name it differently.
In Vienna, the Handelsgericht Wien; in Graz, the Landesgericht für Zivilrechtssachen Graz.
One database, many courts.
The entries sit in one central database at the Bundesrechenzentrum in Vienna, run for the Ministry of Justice. That is why a query costs a court fee, not a price.
Your duty to that court runs continuously.
Changes to registered facts must in principle be notified without delay (Anmeldungspflicht), and so must the end of the company: deregister company austria.
What does the register record about every company?
FBG § 3 fixes what is entered for every registered entity, and the rows in bold are the ones a non-resident should read twice. Fourteen kinds of entity are registrable, the FlexKapG (FlexCo) among them at Z 5a, and the austrian company law guide compares them.

What does the register show about a GmbH, and who can see the shareholders?
The sentence non-residents are most often surprised by: Austrian GmbH shareholding is public at the level of the individual shareholder. Name, date of birth, the amount subscribed and the amount paid in are register entries, readable by anyone for EUR 4.89. Settle the holding structure before the articles are signed: gmbh in austria.
1. What a GmbH entry adds. The Stammkapital, every shareholder by name and date of birth, each Stammeinlage and the payments on it, the supervisory board, and the directors with their powers (GmbHG § 11).
2. The founding privilege is visible too. Where GmbHG § 10b is used, that fact and the privileged contributions are entered.
3. A FlexCo is the one exception, and only in part. Holders of Unternehmenswert-Anteile are by express derogation not entered individually: the register shows the class and the sum, and the directors keep a separate Anteilsbuch (FlexKapGG § 9 Abs. 6 and 7). Ordinary FlexCo shareholders are entered like a GmbH's.

What does the Firmenbuch not show?
An extract proves who the company legally is. It does not prove that it may trade, that it is VAT registered, or who owns it.
Beneficial owners are not in it.
They sit in the WiEReG, which is not public: inspection needs a legitimate interest (§ 10). Start with who has to file in the Austrian beneficial owner register.
The trade licence is not a register entry.
Registration does not replace a Gewerbeberechtigung, and the portal says so in terms. For sole traders the ministry calls GISA the only authentic source.
The UID, the Austrian VAT number, is not in it either.
FBG § 3 fixes the register's content, and the VAT number is not part of it: vat id austria, and for the tax the VAT page.
Individual FlexCo enterprise-value holders are not in it.
Only the class and the aggregate amounts appear.
So a clean entry proves less than it looks.
A ready-made company has a clean entry and still arrives without a UID or a trade licence: buy a company in austria. Besides the FN it carries the EUID and OeNB number (FBG § 33 Abs. 5).
Firmenbuch, GISA or WiEReG which register answers your question?
Search engines confuse these three, and so do most English pages. A fourth turns up on the same searches: the financial regulator's list of authorised entities, a supervision register and not a company one, where a crypto license austria cost claim is checked.

How do you search the Austrian company register, and where does free stop?
Start with the FN if you have it.
It pulls the extract straight from the database. Historical data only if you ask.
Without the FN, search on something else.
The company name (Firma) works, and so does the name of a person holding a function in it. The old HRA, HRB and GEN numbers still work, and a "*Veränderung*" search finds recent entries and deletions.
Take the free short information first.
The register must offer a free short information (kostenlose Kurzinformation) with the query, and its nine items are fixed by FBG § 34 Abs. 1b: name, legal form, seat, business address, register state, FN, EUID, website, insolvency entries, Geschäftszweig, the representatives and their authority, liquidators and branches.

Where free stops.
Buying a document or a full extract needs an ID Austria login, paid by Visa, Mastercard or EPS.
The routes that need no Austrian login.
GISA is free and in English, and the European e-Justice Portal carries the free minimum every member state publishes: name, legal form, seat, register state, registration number.
What actually happens. The free layer is enough for most checks. The paid layer is where a non-resident stops, because an ID Austria login is not something someone outside Austria has. That, and not a conspiracy, is why Verrechnungsstellen exist: billing agencies commissioned by the Ministry of Justice, adding an approved surcharge to the court's own data.

What does a Firmenbuch extract cost?
These are court fees fixed by statute, and they changed on 1 August 2026: most English pages still print the set superseded on 31 July. Query fees follow Gerichtsgebührengesetz Tarifpost 10 Z IV, and a billing agency adds its approved surcharge.

How do you read an Austrian register extract, line by line?
Every line below is a statutory entry, with the German term, what it means and its paragraph. Deleted entries are marked and stay retrievable (FBG § 31) but appear only on request (FBG § 33 Abs. 4), which is what the dearer historical extract buys; every entry names the court decision behind it and its execution date (FBG § 32).

Every callout is a row of the table above it, and every entry names the court decision behind it and its execution date (FBG § 32).
FN ######x, because an FN is at most six digits plus one check letter. Every callout is a row of the table above.What is an FN number (Firmenbuchnummer), and what is it not?
The statutory rule is thinner than people expect. FBG § 30 says only that each entity is kept under a running number (fortlaufende Nummer), and nothing about digits or letters. The format comes from the government portal instead: a number "die aus maximal sechs Ziffern und einem Prüfbuchstaben besteht", at most six digits plus one check letter. No official source publishes how that check letter is derived, so this page publishes no validation rule and does not present it as a requirement of FBG § 30. It is a different thing from the check digit in an Austrian VAT number, whose construction rule the Ministry of Finance does publish.
1. What the FN is. A register entry in its own right (FBG § 3 Abs. 1 Z 1), also in the free short information, and the primary search key.
2. What the FN is not. Not a tax identifier: neither the Steuernummer nor the UID. Nor the only identifier on the extract, which carries the EUID and the OeNB number too.
3. The old numbers still work. HRA, HRB and GEN numbers remain valid search terms.
Which extract will a foreign bank, notary or authority accept?
A downloaded PDF checks a counterparty. It is often not enough to open an account or file abroad.
- The certified extract, beglaubigter Firmenbuchauszug. The public document about the register's state, from the Landesgericht or a notary.
- The electronic equivalent, the signierter Stichtagsauszug. It must be certified, the certification being the judiciary's signature confirming it matches the stored data (FBG § 34 Abs. 1a).
- A notary. Must keep the means for register queries, grant anyone inspection, and may certify extracts at the court's fees (FBG § 35).
- At the court itself. Inspection by printouts, with short oral information on request; every court named in JN § 120 grants extracts (FBG § 33).
- A court confirmation, for proving a negative. That no further entry exists, or that one was not made, is proved by court confirmation, not by an extract (UGB § 9 Abs. 3).
- Something in English. The Firmenbuch extract is German; the GISA extract is natively English and officially signed, with the trade wording untranslated.
A bank usually wants the certified or signed extract with the articles from the document collection: how to open a business bank account in Austria as a foreigner. This page states no apostille rule as law: none was read in an official source, and a receiving authority abroad may require one.

What happens if a company does not file its accounts?
The register is also where a company's accounts are published, and where the penalties for not publishing begin.
The nine-month deadline.
Corporations subject to the preparation duties file at the latest nine months after the balance sheet date with the Firmenbuch court of the seat (UGB § 277 Abs. 1).
If the filing is defective, the court sends it back.
It orders the defect remedied and sets a time limit. Where the filing was subject to a statutory deadline and the defect is cured inside that limit, it counts as made on the day it first arrived (FBG § 17 Abs. 1). That order cannot be appealed separately.
Nobody will tell you how long the entry takes.
No statutory processing time exists and no official average is published, so this page gives none.
The penalty order arrives without any prior procedure.
Miss the deadline and EUR 700, or EUR 350 for a micro company, follows by penalty order, with 14 days to object.
And then it repeats.
Every two months, multiplied by size, against each legal representative and against the company in parallel.

Two more duties land early: the beneficial owners within four weeks of the entry (WiEReG § 5 Abs. 1), and a seat that must be a place of operation, management or administration (GmbHG § 5 Abs. 2).

What is a Scheinunternehmen entry, and how does it get into the register?
This is why an unreachable registered address is not merely inconvenient. A Scheinunternehmen, a bogus business, is one directed primarily at cutting wage levies, contributions or pay claims, at registering people for social insurance so they can draw benefits without taking up work, or at documents that feign or conceal a transaction (SBBG § 8 Abs. 1).
Two of the statutory indications of suspicion are about the register entry itself: that people of the kind the stated business implies cannot be found at the business address entered in the Firmenbuch, and that personal contact cannot be established through that address (§ 8 Abs. 3 Z 2 and Z 3). The paragraph adds false documents, missing resources or staff, and risk-analysis anomalies under ASVG § 42b.
So the für Zustellungen maßgebliche Geschäftsanschrift is not a formality. An address nobody answers is an arrangement the statute lists as an indicator; the lawful version is a real address and a representative who acts: the nominee director guide.
1. Who decides, and how little time you get. The Amt für Betrugsbekämpfung investigates and notifies the suspicion in writing. The objection window is one week, and only the entity or its organ representative may lodge it, in person.
2. Where the finding travels. To the cooperation bodies, the trade authority and the Auftragnehmerkataster Österreich, and onto a Finance Ministry list carrying the FN, UID and address.
3. The register entry is made by the court of its own motion. The Firmenbuch court makes or deletes the Z 15a entry ex officio (§ 8 Abs. 11), and for a corporation the office may apply to have it struck off for lack of assets (FBG § 40).
4. The bank consequence, which arrives fastest. A bank may be ordered not to execute money transactions for at most 30 days, extendable to 90; an appeal has no suspensive effect (SBBG § 8a).

Frequently asked questions
What is the Firmenbuch, and is it the same as the Austrian company register?
Yes. Firmenbuch is the German name for the Austrian company register, which English pages also call the commercial register or the corporate registry. It is a public register of company-law facts, kept by the Firmenbuch courts in two parts, the Hauptbuch and the Urkundensammlung. It is not the German Handelsregister.
How do I search the Austrian company register for free?
There are three free routes. The register must offer a free short information with nine statutory items, among them the name, legal form, seat, business address, FN, EUID and representatives (FBG § 34 Abs. 1b). JustizOnline publishes a free current partial extract as a PDF. GISA and the EU company search are free as well.
Is the Austrian company register public, and who is allowed to look at it?
Anyone. UGB § 9 Abs. 1 lets anyone inspect the Hauptbuch and the documents filed with the Urkundensammlung, and FBG § 34 Abs. 1 entitles anyone to an individual electronic query, subject to the technical and staffing capacity available. No legitimate interest has to be shown, unlike the beneficial owner register.
What is a Firmenbuchauszug, and what does an Austrian company register extract cost?
A Firmenbuchauszug is a register extract. From 1 August 2026 it costs EUR 4.89 current, EUR 8.20 with historical data, EUR 1.52 per document from the collection, and EUR 19.00 at the court in person. Austria issues no one-off registration certificate: entry is constitutive, so the extract is the proof.
What is an FN number (Firmenbuchnummer), and where do I find a company's one?
The FN is the register number. FBG § 30 calls it a running number, and the government portal describes the format as at most six digits plus one check letter. It is a register entry in its own right and appears in the free short information. If you do not have it, search on the company name instead.
How do I read an Austrian register extract, and what does each field mean?
Field by field, and the table on this page gives every line with its statutory source. The load-bearing ones are the Sitz, the separate business address for service, the persons authorised to represent with the start and type of their authority, the Stammkapital, and each shareholder with the contribution and the amount paid in.
Can I get an Austrian company register extract in English?
The Firmenbuch extract itself is German. The GISA trade licence extract is available in German and English and carries the agency's official electronic signature, although the wording of the trade itself is deliberately not translated. A receiving authority abroad may still require an apostille or a certified translation.
What is the difference between the Firmenbuch, GISA and the WiEReG beneficial owner register?
Three registers, three questions. The Firmenbuch says who the company legally is. GISA says what it is licensed to trade in, free and in English. WiEReG says who ultimately owns it, and only someone proving a legitimate interest may look (§ 10). The VAT number is in none of the three.
Do I need an ID Austria login to download a Firmenbuch extract?
To buy one, yes: JustizOnline states that purchasing documents requires a login with ID Austria, paid by Visa, Mastercard or EPS. The statutory free short information and the free current partial extract are described as free of charge. Whether that free partial extract itself needs a login is not stated unambiguously.
What information about my company becomes public when it is registered in Austria?
Everything listed in FBG § 3: the FN, name, legal form, seat, the business address for service, line of business, branches, the date of the articles, the representatives and Prokuristen with their dates of birth and powers, liquidators and insolvency entries. Where a natural person is entered, that person's address is visible.
Are the shareholders of an Austrian GmbH publicly visible in the register?
Yes. GmbHG § 11 requires the name and date of birth of every shareholder to be entered, with the amount of each contribution and of the payments made on it. FlexCo enterprise-value holders are the one exception: they appear only as a class with aggregate sums, and their names sit in the company's own share book.
Which court keeps the register for my Austrian company?
The Landesgericht in whose district the company's registered seat lies. In Vienna it is the Handelsgericht Wien, in Graz the Landesgericht für Zivilrechtssachen Graz. The entries themselves sit in one central database at the Bundesrechenzentrum in Vienna, kept there for the Ministry of Justice.
What is the difference between the Sitz and the business address for service in the register?
The Sitz is the registered seat, a place, and for a GmbH it must be a place of operation, management or administration (GmbHG § 5 Abs. 2). The business address for service is where the company is actually served (FBG § 3 Abs. 1 Z 4). A separate entry, Z 4a, records that no such address is known.
What is a Scheinunternehmen entry in the Austrian register, and how does it get there?
It is a finding by the Anti-Fraud Office that a business is bogus under SBBG § 8. The objection window is one week and requires appearing in person. The Firmenbuch court then makes the entry of its own motion under FBG § 3 Abs. 1 Z 15a, and the Finance Ministry publishes the business on an internet list.
What is a historical extract, and how far back do the register's deleted entries go?
Deleted entries are marked and must stay retrievable (FBG § 31), but they appear in an extract only on a specific request (FBG § 33 Abs. 4), which is what the EUR 8.20 historical extract buys. The portal says the output runs back only to the start of the electronic changeover, and attaches no date to that sentence.
